| David Roche Chairman of the Board

Mr. Roche has 30 years of experience in connection with the banking industry. He was most recently an executive at McAfee, Inc., a leading software manufacturer. Prior to McAfee, Inc., Mr. Roche was a partner at Deloitte & Touche, where he managed the Enterprise Risk Management practice for the West Coast market area. Previously he was a banking partner for the same firm in both the Seattle and Portland offices, overseeing financial statement audits and FDICIA attestation engagements on a wide variety of banks. Mr. Roche is now retired and in addition to the Bank, serves as a director of a privately held software company.

| Larry G. Baker President Emeritus and Board Member

Larry Baker, co-founder of Lewis & Clark Bank, retired in
2010 having served as President/CEO and a total of over 50 years in banking,
including nearly eight years in another Oregon community bank and a variety of
leadership positions at two super-regional banks. He is a past President of Central East
Portland Rotary and remains active in community service as the Foundation Chair
for Central East Portland Rotary, and a member of the Rotary Board of
Directors. While actively employed at
Lewis & Clark Bank he served on the Board of Directors of the Oregon
Bankers Association, was a member of the Oregon City Chamber of Commerce, the
Oregon City Urban Renewal Citizen's Group, and the Oregon Schools
Superintendent's Business Advisory Team.
In addition to the Bank board, he has experience on the Boards of two
profit making enterprises.

| Todd Liebow, MAI Board Member
|
Mr. Liebow is a commercial and industrial real estate appraiser and Principal in the firm
of Valuation Forensics Group, LLC located in Portland, Oregon. Mr. Liebow's professional appraisal experience includes 29 years
with Colliers International Valuation and Advisory Services (formerly PGP
Valuation) as Managing Director of Property Tax Services and Principal, and
before that, five years as a commercial and industrial appraiser for the
Clackamas County Assessor's Office. From 1983 until 2012, he was in private
practice with Colliers (previously PGP Valuation), specializing in valuation
analysis for ad valorem tax assessment appeals and other forms of litigation.
Mr. Liebow is a designated member of the Appraisal Institute and is a past
president of the Greater Oregon Chapter of the Appraisal Institute and the
Oregon/Southwest Washington Chapter of the International Association of
Assessing Officers. He has chaired the Portland Building Owners and Managers' (BOMA) taxation and legislation committee and has been a member of the
Associated Oregon Industries' committee on property taxation. Mr. Liebow is also
a member of the Institute for Professionals in Taxation and was the Chair of
IPT's 1997 Property Tax Symposium as well as the Overall Chair of the 1999
Annual Conference, and has served as a member of both committees several times
over the past 20 years. Mr. Liebow has also addressed Appraisal Institute
Seminars on a multitude of topics in his areas of expertise, as well as
authoring several articles on the ad valorem assessment system and has lectured
frequently on tax and valuation issues. He also owns and
operates a commercial real estate investment and development firm specializing
in urban infill sustainable development in Portland.

Trey Maust, co-founder of Lewis & Clark Bank, has 18
years of experience in connection with the banking industry. He was previously the Chief Financial Officer
of Lewis & Clark Bank, and prior to that was the CFO of a Portland-area
community bank. Mr. Maust began his career at Deloitte & Touche in
Portland, and was later involved in domestic and international mergers and
acquisitions for Honeywell International and Deloitte in New York. His
experience also encompasses asset/liability management, portfolio positioning
and composition, financial accounting and reporting, internal control and
FDICIA, human resources, marketing, and development of strategic and tactical
analyses for companies. In addition to the Bank's board, Mr. Maust is the
chairman of the board for Synergy by Association, Inc., is on the American
Bankers Association's Community Bankers Council, is an advisory board member of
Anvil Media, and is a board member of Oregon Bankers Association, Western
Independent Bankers, and Independent Community Banks of Oregon. He was formerly the chairman of OBA's
Financial Officers & Investment Committee and a board member of EO
Portland. In 2007, he was recognized as one of the Forty Under 40 by the Portland
Business Journal.

| Kevin Murphy, M.D. Board Member
|
Dr. Murphy is a board certified orthopedic surgeon with fellowship training in sports medicine. His surgical expertise includes arthroscopy, joint reconstruction and orthopedic trauma. Dr. Murphy is currently an assistant team physician for the Portland Timbers professional soccer team, and provides orthopedic care at the Nike Sports Medicine Clinic. He also provides orthopedic support for several local high schools.

Jeff Sumpter, co-founder of Lewis & Clark Bank, has over 19 years of banking experience, and was most recently the Chief Lending Officer of Lewis & Clark Bank. Mr. Sumpter was previously the Chief Lending Officer for a local community bank, and held various branch management and sales positions at a super-regional bank. In addition to the Bank's board, Mr. Sumpter is on the board of directors for the Oregon Business Development Corporation, the board of directors for Independent Community Banks of Oregon, the board of trustees for Oregon BankPAC, the board of trustees for Providence Willamette Falls Medical Foundation, is past President of Gladstone Rotary Club, and was recognized as one of the Forty under 40 recipients in 2009 by the Portland Business Journal.

| Keith Emerson Director Emeritus

Mr. Emerson brings over 30 years of experience managing small and large businesses, and was most recently the Northwest licensee for PI Worldwide, an international management consulting organization focusing on employee assessment, recruitment, and performance. He has a broad background in the recruiting, training and hiring of employees and in standardization of processes and procedures. He also has expertise in strategic and tactical business planning, marketing, business development and general administration.
